Legal Notice: These Terms & Conditions ("Agreement") govern the distributor/channel partner relationship between Medline Robotics Pvt. Ltd. ("Company") and the Distributor. By ticking the acceptance checkbox on the Distributor Enquiry Form and submitting the form, the Distributor agrees to be legally bound by all clauses herein. This digital acceptance, along with the Distributor's recorded name, email address, mobile number, and timestamp, constitutes a valid and enforceable agreement under the Information Technology Act, 2000 and applicable Indian contract law.

A 50% advance payment of the total order value (inclusive of applicable GST) is mandatory to confirm any order booking. No order shall be treated as confirmed or reserved without receipt of this advance.
The remaining 50% balance must be paid in full before dispatch of the products from the Company's warehouse. No goods will be released to the logistics partner or the Distributor without clearance of the full balance.
Payment shall be made via NEFT/RTGS/IMPS bank transfer to the designated Medline Robotics account. Payment through any other channel must be pre-approved in writing by the Company.
In the event of delayed balance payment, the Company reserves the right to reallocate the reserved stock to another distributor without prior notice after a grace period of 7 days from the scheduled dispatch date.
All payments are subject to applicable TDS deductions as per Indian tax law. The Distributor is responsible for providing a valid TAN and TDS certificate where applicable.
No cancellation of a confirmed order is permitted after receipt of the booking advance. The Distributor acknowledges that production and resource allocation begins immediately upon confirmation.
The 50% advance payment is strictly non-refundable in the event of cancellation, change of mind, or failure to pay the balance amount. This applies regardless of the reason for cancellation.
In the exceptional event that the Company is unable to fulfil a confirmed order due to manufacturing defects, force majeure, or regulatory reasons, a full refund of the advance will be processed within 30 working days.
Returns are only accepted for products with documented manufacturing defects or damage in transit, reported within 48 hours of delivery with supporting photographs and video evidence.
Products that have been used, installed, or modified in any way are not eligible for return or exchange under any circumstances.
The Distributor is granted a non-exclusive right to distribute Medline Robotics products within the zone of operation selected at the time of enquiry, unless a separate Exclusive Territory Agreement is executed in writing.
The Distributor shall not actively solicit customers, hospitals, or institutions outside their designated territory without prior written approval from the Company.
The Company reserves the right to appoint multiple distributors in the same territory unless an exclusive arrangement has been mutually agreed and documented.
Territory rights cannot be transferred, sub-licensed, or assigned to any third party without written consent from Medline Robotics.
The Distributor shall not sell any Medline Robotics product below the Minimum Retail Price (MRP) or the distributor floor price communicated by the Company. Price undercutting is grounds for immediate termination of the partnership.
All pricing changes, promotional offers, and discount schemes are exclusively determined by Medline Robotics. The Distributor may not offer unauthorised discounts or bundle products without prior written approval.
The Distributor's margin and trade price shall be as agreed in the formal Distributor Agreement executed after approval of the partnership enquiry.
The Distributor may use the Medline Robotics logo, product images, and brand materials only for the purpose of promoting and selling Medline Robotics products within their territory.
All marketing materials — digital or print — must use Company-approved creatives and messaging. The Distributor may not alter, modify, or create derivative brand materials without written approval.
The Distributor shall not make any false, exaggerated, or unapproved clinical claims about Medline Robotics products. All product claims must align with CDSCO-approved indications.
Any social media posts, advertisements, or public communications referencing Medline Robotics must be pre-approved by the Company's marketing team or comply with pre-approved content guidelines.
The Distributor and their sales team must complete mandatory product training provided by Medline Robotics before commencing sales of any product. Sales without proper training are prohibited.
The Distributor is responsible for obtaining and maintaining all state-level medical device distribution licences, drug licences, and permits required under applicable Indian regulations (CDSCO, State FDA, etc.).
The Distributor shall maintain proper storage conditions for all Medline Robotics products as specified in the product documentation. The Company is not liable for damage caused by improper storage.
Any adverse event, product complaint, or quality issue must be reported to Medline Robotics within 24 hours of becoming aware of it, in compliance with CDSCO post-market surveillance requirements.
The Distributor agrees to keep all pricing, technical specifications, business strategies, and customer data shared by Medline Robotics strictly confidential and shall not disclose such information to any third party.
During the term of this agreement and for a period of 12 months thereafter, the Distributor shall not directly or indirectly represent, promote, or distribute any product that is directly competitive with Medline Robotics' product range in the assigned territory without prior written consent.
The Distributor shall not approach or poach any Medline Robotics employee, contractor, or partner for employment or business engagement during the agreement term and for 12 months after termination.
This Agreement shall be effective for an initial term of 12 months from the date of execution of the formal Distributor Agreement and shall be renewed annually by mutual written consent.
Either party may terminate this Agreement by giving 30 days written notice to the other party, provided there are no outstanding obligations or pending orders.
Medline Robotics reserves the right to immediately terminate the partnership — without notice or refund — in the event of: price undercutting, unauthorised territory expansion, breach of branding guidelines, non-payment, or any conduct that damages the Company's reputation.
Upon termination, the Distributor must immediately cease use of all Medline Robotics branding, materials, and product listings, and return or destroy any confidential information in their possession.
This Agreement shall be governed by the laws of the Republic of India. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu.
In case of any dispute, the digital acceptance record (name, email, mobile, timestamp, IP address) stored in Medline Robotics' database shall be admissible as prima facie evidence of the Distributor's agreement to these terms.
Medline Robotics reserves the right to update these Terms & Conditions at any time. Distributors will be notified via email. Continued engagement after notification constitutes acceptance of the updated terms.
